Susamvaad – Legal Advisory & Dispute Resolution Services
Effective Date: 25/01/2026

These Terms of Service (“Terms”) govern the professional relationship between Susamvaad (“we”, “us”, “our”) and the client (“Client”, “you”, “your”) for the provision of legal advisory, contract management, mediation, and dispute resolution services (“Services”).

By engaging our Services, you agree to these Terms. If you do not agree, please do not proceed with any engagement.

  1. Scope of Services

We provide legal advisory, contract strategy, mediation, dispute prevention, and related services as agreed in writing between the parties.
Any services not explicitly included in the engagement agreement will be considered out of scope and may be provided at additional fees.

  1. Engagement

Services will commence upon:

  • signing of the engagement agreement or proposal, and
  • payment of the agreed fees.

We reserve the right to decline or terminate any engagement at our discretion.

  1. Fees & Payment
  • Fees will be agreed upon in writing prior to commencement of Services.
  • The payment schedule is as follows:
    • 40% of the total fees payable in advance (at the time of engagement).
    • 40% of the total fees payable upon delivery of the first draft, first consultation, or first session, whichever occurs first.
    • Remaining 20% payable upon completion of the engagement / final delivery.
  • Advance payments are non-refundable, as consultancy time and services commence immediately upon engagement.
  • Payments are due as per the agreed payment schedule.
  • Payment can be made via Bank Transfer or UPI.
  • Late payments may attract interest or may result in suspension of services until payment is received.
  • Rescheduling of sessions will be permitted once, provided notice is given at least 24 hours in advance. Additional rescheduling may be subject to a fee, as communicated in writing.
  • Scope Change & Additional Fees:
    Any changes to the scope of Services requested by the Client after commencement will require written approval and may incur additional fees. Additional fees will be communicated and agreed upon in writing before the additional work is undertaken.
  • All fees are exclusive of applicable taxes unless otherwise stated.
  1. Client Responsibilities

You agree to:

  • provide accurate, complete, and timely information relevant to the Services.
  • respond to requests for information or documents promptly.
  • make decisions based on our legal advice and guidance.

Failure to provide required information may delay services or affect the outcome.

  1. Confidentiality

We will maintain the confidentiality of all client information and documents shared for the purpose of providing Services.
We will not disclose any confidential information unless required by law or with your prior written consent.

  1. Communication

We will communicate primarily through email, phone, or video calls as needed.
We aim to respond within a reasonable timeframe, but response times may vary based on case complexity.

  1. Limitation of Liability & No Refund Policy

To the maximum extent permitted by law, Susamvaad’s liability for any claim arising from or related to the Services will not exceed the total fees paid by the Client for the Services.

All fees paid are non-refundable, as time, consultancy, and advisory support are provided immediately upon engagement and cannot be reclaimed. Any unused portion of the Services will not be refunded, unless otherwise expressly agreed in writing.

  1. No Guarantee of Outcome

While we provide professional legal advice and strategy, we do not guarantee any specific result or outcome.
Legal outcomes depend on many factors beyond our control.

  1. Termination

Either party may terminate the engagement with written notice.
On termination, the Client will pay for all Services rendered up to the termination date.

  1. Intellectual Property

All intellectual property rights in materials created by Susamvaad during the engagement remain our property unless otherwise agreed in writing.
The Client is granted a limited license to use such materials solely for the purpose for which they were provided.

  1. Governing Law & Jurisdiction

These Terms will be governed by the laws of Maharashtra, India.
Any disputes will be subject to the exclusive jurisdiction of the courts of Ahilyanagar, Maharashtra.
